Terms of Service
The rules and expectations that govern our working relationship.
01 Agreement to These Terms
By accessing or using the website at https://kblix.ng or engaging our Solutions services, you ("Client" or "you") agree to be legally bound by these Terms of Service ("Terms").
These Terms constitute a binding agreement between you and Kcablex Techiverse Ltd (registered in Nigeria, trading as KBLIX), whose principal place of business is in Lagos, Nigeria.
If you are entering into these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity.
02 Our Services
KBLIX operates a technology platform and product ecosystem (KBLIX Cloud, JOT, KBLIX School), and also provides technology solutions services — web design, branding, IT support, computer training, and printing — described on our Solutions page.
Specific Solutions service deliverables, timelines, and pricing are agreed upon in a separate Service Agreement, Proposal, or Invoice. In case of conflict, those documents take precedence over these Terms.
03 Product Terms Are Separate
JOT and KBLIX School are separate applications with their own account terms, subscription terms, and acceptable use policies, presented within those applications at signup. Nothing in this document should be read as governing your use of those products — this section exists specifically so that is never ambiguous.
04 Quotations & Pricing (Solutions Services)
All quotations issued by KBLIX are valid for 14 calendar days from the date of issue, unless otherwise stated. Prices are quoted in Nigerian Naira (NGN) unless an alternative currency is explicitly agreed in writing. Quotations are based on the scope of work described at the time of inquiry — scope changes after commencement may result in revised pricing (see Section 08).
05 Client Responsibilities
- Provide all required content (text, images, logos, brand assets, credentials) in the format and within the timeline specified by KBLIX.
- Respond to feedback and approval requests within a reasonable timeframe. Delays caused by lack of client response do not entitle the client to compensation or a fee reduction.
- Ensure that all content and materials you provide are accurate, lawful, and do not infringe the intellectual property rights of any third party.
- Nominate a primary point of contact with authority to provide approvals on your behalf.
06 Intellectual Property
Client Content
You retain full ownership of all content and assets you provide to KBLIX. You grant us a non-exclusive, royalty-free licence to use such materials solely for the purpose of delivering your project.
Deliverables — Upon Full Payment
Upon receipt of full payment, KBLIX assigns to you all ownership rights in the final custom deliverables created specifically for your project.
KBLIX Tools & Frameworks
Pre-existing tools, frameworks, or methodologies used by KBLIX remain our intellectual property. You receive a perpetual, non-exclusive licence to use such elements as incorporated into your deliverable, but not independently.
Portfolio Rights
KBLIX reserves the right to display completed work in our portfolio and marketing materials, unless you have specifically requested in writing prior to project commencement that your project remain confidential.
07 Changes & Revisions
Each service agreement specifies the number of included revision rounds. Revisions beyond the agreed number will be quoted and billed separately. Any request to add features or functionality not included in the original scope constitutes a change of scope and is subject to a revised quote and timeline.
08 Timelines & Delivery
Estimated timelines are provided in good faith and are based on the agreed scope and timely supply of client materials and approvals. Timelines may be affected by delays in receiving client content, scope changes, or circumstances beyond our reasonable control.
09 Warranties
KBLIX warrants that: services will be delivered with reasonable skill and care, and deliverables will materially conform to the agreed specifications at the point of handover.
KBLIX does not guarantee: specific search engine rankings, advertising performance, or social media growth figures, or uninterrupted, error-free performance of third-party platforms.
Post-handover bug fixes: KBLIX will rectify bugs attributable to our work at no additional charge within 30 days of handover. After this period, fixes are subject to our standard support rates unless covered by an active maintenance retainer.
10 Limitation of Liability
To the fullest extent permitted by Nigerian law, KBLIX's total aggregate liability for any claim shall not exceed the total fees paid by you for the specific service that gave rise to the claim in the 12-month period preceding the event. KBLIX shall not be liable for loss of profits, loss of data, business interruption, or any indirect or consequential losses. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, or for fraud.
11 Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service relationship for a period of 3 years.
12 Cancellation Policy
By Client: before work commences, any deposit is refunded in full. After work commences, the deposit is forfeited and you are liable for all work completed to date. Monthly services require 30 days' written notice.
By KBLIX: we may cancel or suspend a project if payment is overdue by more than 14 days, you engage in abusive conduct, or continuing would require us to act unlawfully.
13 Acceptable Use
By using our Site or services, you agree not to submit false or misleading information, engage us to create unlawful or infringing content, attempt to gain unauthorised access to our systems, or use our Site to transmit malware or spam.
14 Force Majeure
KBLIX shall not be in breach of these Terms for any delay arising from events beyond our reasonable control, including acts of God, power outages, telecommunications failures, government restrictions, or natural disasters.
15 Governing Law & Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are first addressed through good-faith negotiation within 21 days, then mediation in Lagos, Nigeria, then the exclusive jurisdiction of the courts of Lagos State, Nigeria.
16 Modifications
KBLIX reserves the right to update these Terms at any time. Material changes will be communicated via the Site and/or email. For existing active service agreements, changes apply only upon renewal or a new project.
